Represented management in the corporate restructuring of a multinational company wherein the interests of the preferred stockholders was converted to common stock and additional stock issued to management to effectuate a change of control and effective management takeover of the corporation.
Represented a minority stockholder, who was also the corporate president, in extricating himself from the corporation and in establishing a related business.
Represented an international entity in the disposition of United States real estate interests and the resolution of stock ownership of an Egyptian corporation.
Represented 50 percent owner of a limited liability company in taking control of the company and buying out co-owner.
Represented LifeCell Corporation in its $1.7 billion sale to Kinetic Concepts Inc.
Represented a contract purchaser in a dispute with the owner and existing tenant in conjunction with the purchase of the U.S. headquarters of a multinational corporation.

For the same client, handled the sale/leaseback of a several-million-square-foot office complex in conjunction with the sale of a major telecommunications business.
Represented a minor league baseball team in the development and negotiation of a public-private partnership for the lease and construction of a baseball facility.
Represented a tenant in conjunction with the leasing and fit-up of a major telecommunications facility.
Represented a condominium developer on a major project for which we provided counsel with respect to approvals, a dispute with the County Planning Board, and complex transportation issues.
