Ryan Fennell’s practice focuses on the representation of fund clients, portfolio companies, and investment managers with regard to compliance with anti-money laundering (AML), Know Your Customer (KYC), and other regulations necessary in the onboarding process at financial institutions across North America, Europe, and Asia. He also advises on the Foreign Account Tax Compliance Act (FACTA), the Financial Crimes Enforcement Network’s (FinCEN) Customer Due Diligence Rule (CDD Rule), and other regulatory compliance procedures.
Ryan also provides advice on such issues as the development and review of policies and procedures, certifications and registrations, beneficial ownership and other due diligence disclosures, and other effective ways to mitigate risk and streamline compliance processes. He guides clients toward practical and efficient compliance solutions to address their specific trading needs so that compliance is an integral and supportive part of a streamlined onboarding process.
Previously an associate at an AmLaw 10 firm, Ryan has experience in representing buyers, sellers, and managers in secondary transactions of all types, including single-interest transactions, portfolio sales, tender offers, and GP-led recapitalizations and restructurings; as well as in counseling on the structuring, formation, governance, and regulation of private funds. He has advised state pension plans, investment managers, private investment funds, and other institutional investors.
Ryan was also previously seconded to the office of the Chief Operating Officer at Morgan Stanley Investment Management Inc., where he facilitated the review and negotiation of investment management agreements, sub-advisory agreements, and requests for proposals.
