Growing up in an entrepreneurial family, Nick San Filippo started learning at an early age how business leaders think and what concerns them. He continues this life-long educational journey through deep immersion in the business community, participating in monthly CEO roundtables and serving on client advisory boards. This ongoing learning process combined with his 25+ years of legal experience representing mid to large market companies allows Nick to advise his clients on both business and legal strategy making him a go-to resource for business leaders seeking to grow and, ultimately, monetize their businesses.
Nick frequently leads high-stakes, one-of-a-kind mergers and acquisitions for his clients. He is equally comfortable advising the experienced C-Suite of a large, international company and private equity firms as he is with guiding the entrepreneur owner. His diverse practice extends far beyond conducting complex transactions. Nick forms enduring, long-term relationships with entrepreneurs, business leaders, and visionaries across an eclectic mix of sectors, acting as an outside general counsel and trusted strategic advisor who provides ongoing legal and business advice throughout the entire arc of a company, from formation through day-to-day business challenges, towards successful exits. Nick brings a team approach to his representation; he knows that connecting quality people with one another enhances the likelihood of success for all involved.
Nick has guided hundreds of companies in such varied industries as chemicals, manufacturing, food, distribution, insurance, automobile, professional services, and plastics. This diverse wealth of experience enables him to envision his clients’ needs, likely challenges, and viable solutions, and reliably outline the best way to work through them all. Collaborating closely with Lowenstein colleagues, Nick takes a 360˚ view of his role as counsel, bringing in the right talent at the right time while balancing the correct legal answer with the realities of acceptable business risk, deadlines, and budget.
In addition to his transactional and outside legal / business counseling work, Nick co-leads the firm's Business Divorce Group, which guides clients through the complexities of co-owner dispute resolution and, if necessary, business separation and shareholder oppression litigation. A skilled negotiator, Nick employs his strategic vision to navigate contentious matters between minority and majority shareholders of closely held companies or members of family businesses to preserve the value of assets and reach satisfactory consensus.
As a member of Lowenstein’s Executive Board and Compensation Committee as well as Chair of its Strategic Planning Committee, Nick has been deeply involved in the firm’s growth and success over the past two decades.
