Jacob Unger represents all manner of entities from private equity sponsors and their portfolio companies to public companies and privately-owned businesses. His transaction experience includes a wide assortment of deal structures, including cross-border transactions, leveraged buyouts, mergers, acquisitions, divestitures, carve-outs, minority investments, joint ventures, debt and equity financings and corporate restructurings.

Jake has a strong background in managing transactions from start to finish and the drafting and negotiation of a wide array of transactional documents, as well as counseling public and private companies on general corporate, governance and securities matters. 

Active in pro bono projects, Jake’s experience includes advising nonprofit organizations and assisting transgender clients with legally changing their name to be consistent with their identity and appearance.

  • Represented The Estée Lauder Companies Inc. (NYSE: EL) in its two-phase agreement to increase its ownership of DECIEM Beauty Group Inc., the Canadian-based, vertically integrated, multi-brand beauty company, with the completed first phase investment reflecting a total enterprise value of approximately $2.2 billion.
  • Represented Avalon GloboCare Corp. (NASDAQ: ALBT), a clinical-stage global developer of cell-based technologies and therapeutics, in its $21 million acquisition of a minority stake in Laboratory Services MSO, LLC, a biotechnology research laboratory and diagnostic testing facility
  • Represented Crimson Investment in the sale of Aqua-Chem, a leader in water purification technologies, to Saur.
  • Represented Crimson Investment in the sale Milton Industries, a manufacturer and distributor of tools and accessories used in pneumatic applications.
  • Represented Crimson Investment in the sale of Ameda, a breast pump and infant feeding business, to International Biomedical.
  • Represented Signature Brands, a North American manufacturer of dessert decorating products, and its owner, private equity firm Traub Capital Partners, in the acquisition of Brand Castle.
  • Represented Topix Pharmaceuticals, a New Mountain Capital portfolio company and independent leader in skincare products, in connection with the acquisitions of Derma E and Clarity Clinical Skin Care, Inc. (dba “ClarityRx”), two rapidly growing California-based natural skincare companies.
  • Represented Revint Solutions, LLC, a New Mountain Capital portfolio company and provider of revenue integrity and recovery services for health care providers, in connection with the acquisition of Praxis Healthcare Solutions, LLC, a provider of health care revenue recovery and integrity solutions.
