Darren Goodman regularly advises corporate and individual clients on executive compensation matters, such as employment, equity, change-in-control, and separation agreements, design and administration of equity compensation plans, and Section 409A compliance. In addition, he counsels clients on retirement plans and welfare benefit plans, including compliance with the Patient Protection and Affordable Care Act.

Darren also provides legal guidance on the employee benefit aspects of mergers, acquisitions, and other business transactions, including negotiation of employment terms and application of the golden parachute payment provisions of the Internal Revenue Code.

Before joining the firm, Darren served as law clerk to the Honorable Stuart Rabner, Chief Justice of the New Jersey Supreme Court, and intern to the Honorable Robert B. Kugler, United States District Judge, District of New Jersey.

  • Represented the management team of KPS Global LLC, a leading manufacturer of insulated panel systems and provider of highly customized solutions, in KPS Global’s sale from private equity firm D Cubed Group to Viessmann Generations Group, a German manufacturer of heating and refrigeration systems.

  • Represented Phreesia, Inc. (NYSE: PHR), a leader in patient intake, outreach and activation, in its acquisition of Access eForms, LLC, a provider of integrated paperless forms and workflows for healthcare facilities.

  • Represented Cloudmed, a New Mountain Capital portfolio company and leader in Revenue Intelligence™ solutions for healthcare providers, in its acquisition of par8o, an innovative healthcare technology company specializing in 340B and patient referral management technology for healthcare providers.
  • Represented Osmosis, a U.S.-based visual learning platform that has simplified the complex learning journey for millions of current and future healthcare professionals and their patients around the world, in its acquisition by Elsevier, a global leader in research publishing and information analytics. 
  • Represented a boutique applied analytics and data science consultancy in its acquisition by a multinational professional services company.
  • Represented Beekman 1802, a high growth clean beauty brand offering a line of premium skincare and body care products that leverage microbiome science and harness the benefits of goat milk, in a $92 million investment. Eurazeo, a global investment group, invested $62 million out of a total of $92 million to acquire a majority stake alongside co-investors Cohesive Capital Partners and the Cherng Family Trust.
  • Represented Wynnchurch Capital, L.P., a middle-market private equity investment firm, in its acquisition of Mattress Warehouse, LLC, a privately held specialty mattress retailer with over 300 retail locations in the U.S.
  • Represented LayerZero, a provider of omnichain crypto interoperability networks, in its $135 million Series A round.
