Armando Castro has been a Silicon Valley-based corporate lawyer serving emerging companies and investment funds for close to 30 years.
Frequently acting as outside general counsel. Armando works with clients ranging from formation-stage startups to mature public companies, as well as the boards of directors, investors, and investment banks that invest and work with those companies. His industry background spans financial technologies and payment systems, cybersecurity, software, pharmaceutical development, medical devices, health tech, and manufacturing, renewable energy, enterprise and telecom networking, wireless technologies, and semiconductors.
Armando has significant experience counseling domestic and international parties on legal and business matters involving domestic, international, and cross border aspects. He advises formation stage, emerging, and established companies on matters of corporate governance; transactions such as financings, mergers, and acquisitions; and matters pertaining to technology, management compensation, labor and employment, stock valuations, general contracts and regulatory compliance.
He also counsels executives, boards of directors, investors, placement agents and underwriters on public offerings, private placements, SEC and stock exchange requirements, reorganizations, and asset acquisitions.
In addition to his work at some of the nation’s largest law firms, Armando has significant in-house experience: he is former general counsel and executive board member of Cyras Systems, and negotiated its $2.7 billion merger with CIENA in 2001.
