Anthony O. Pergola is the Vice Chair of Lowenstein Sandler’s Emerging Companies & Venture Capital practice, which he co-founded with Ed Zimmerman at Lowenstein in the 1990s.

Based in New York City, Anthony is an investment lawyer who represents tech start-ups at all stages (early-stage, emerging, growth) and the venture capital funds investing in them. Anthony focuses on sell- and buy-side M&A transactions, venture capital investments, and public offerings. While his core area of industry focus is tech (including digital health, healthcare IT, AI, security, SaaS, enterprise software, fintech, adtech, and consumer-focused businesses), he has counted among his client base publicly held companies in biotech and other life sciences sectors. Anthony has helped his clients close many hundreds of their most important transactions and provided counsel at more than a thousand board meetings. Anthony is one of the few tech lawyers to call the same firm home for nearly 30 years and to have helped usher in the emergence of New York City as a leading tech market from the mid-1990s.

Represented Aetion, the leading regulatory-grade real-world evidence (RWE) technology provider, in its acquisition of Replica Analytics, a pioneer in using artificial intelligence (AI) for synthetic health data generation.
Represented Osmosis, a U.S.-based visual learning platform that has simplified the complex learning journey for millions of current and future healthcare professionals and their patients around the world, in its acquisition by Elsevier, a global leader in research publishing and information analytics.
Represented VTS, the commercial real estate industry’s leading leasing, marketing, asset management, and tenant experience platform, in its acquisitions of Lane, the workplace experience platform used by top landlords, and Rise Buildings, a property operations and tenant experience technology company. Represented Aetion, Inc., a health care technology company providing a real-world analytics and evidence platform to support value-based care, in securing a $27 million Series B strategic capital infusion led by global leaders in biopharma and health care services, including Sanofi, UCB, McKesson Ventures, Horizon, Health Services, Inc. NEA, Flare Capital, and Lakestar. Also represented Aetion in previous financings involving NEA, Amgen Ventures, Flare Capital Partners, Lakestar, and Oxeon Ventures.
Represented ACV Auctions in its $93 million Series D funding round led by Bain Capital Ventures and Bessemer Venture Partners and including Future Fund, Australia's sovereign wealth fund, Tribeca Ventures and Armory Square Ventures, also participated in the round. Also represented ACV Auctions in its $31 million Series C financing led by Bessemer Venture Partners, Tribeca Ventures, SoftBank NY, and Armory Square Ventures, and in its $15 million Series B financing.
Represented Alloy, the leading identity decisioning platform for banks and fintech companies, in its fundraise of $52 million, led by Lightspeed Venture Partners and Avenir Growth with participation from existing investors Canapi Ventures, Bessemer Venture Partners, Avid Ventures, and Felicis Ventures.
Represented Arcion (formerly Blitzz), the only cloud native data mobility platform that enables enterprises to move large data in real time, in its $13 million Series A financing led by Bessemer Venture Partners with Databricks participating in the round, as well as an additional funding from Hewlett Packard Pathfinder.
Represented Assembly OSM, a modular construction startup that has compared its process to putting together Ikea furniture, in its $38 million Series A fund raise. Fifth Wall’s climate tech fund and Bessemer Venture Partners’ Rob Stavis led the round, with participation from the Jefferies Group, Manta Ray Ventures, FJ Labs, RSE, Signia, Gaingels, New Vista Capital, Tectonic, Atento, Etan Fraser and Moving Capital.
Represented Centivo, an innovative provider of health plans for self-insured employers built to address health care affordability for employees and their families, in a $30 million Series B-1 Extension financing round led by Morgan Health (the JPMorgan Chase & Co. (NYSE: JPM) business unit focused on improving the quality, equity and affordability of employer-sponsored health care). Also represented Centivo in its $51 million Series B financing led by B Capital Group and Maverick Ventures, and its $34 million Series A financing led by Bain Capital Ventures, with additional investments from F-Prime Capital Partners, Maverick Ventures, Bessemer Venture Partners, Ingleside Investors, Rand Capital, Grand Central Tech Ventures, and Oxeon Investments.
Represented Consensus Sales, Inc., an intelligent demo automation platform focused on scaling presales teams with interactive video demos, in a $110 million investment in the company by Sumeru Equity Partners.
Represented Dayforward, the first digital life insurance company built for modern families, in a $25 million round of funding led by AXA Venture Partners, with participation from existing investors including HSCM Ventures, Juxtapose, and Munich Re Ventures.
Represented Droit, a technology firm at the forefront of computational law and regulation, in the closing of a $23 million Series B investment led by Pivot Investment Partners and UBS, along with Goldman Sachs.
Represented Orchard in its $100 million in Series D funding propelling the company to unicorn status. The round was led by Accomplice with participation from repeat investors FirstMark, Revolution, First American, Juxtapose and a syndicate of new investors. Also represented Orchard in its in its $30 million Series A financing led by FirstMark Capital, with Juxtapose and Accomplice also participating in the round.
Represented Volantio, an Atlanta-based technology startup, in its $6 million Series A raise led by DiamondStream Partners, an aviation and aerospace venture capital firm, with participation from Alaska Airlines and follow-on investments from JetBlue Ventures, IAG, Amadeus Ventures, and Ingleside Investors.
Represented VTS in a Series E funding round totaling over $125 million, led by CBRE Group, Inc. (NYSE:CBRE), with other investors including BentallGreenOak, AmTrust, Brookfield Ventures, and Insight Venture Partners. Also represented VTS in its $90 million Series D financing led by Brookfield Ventures, and including GLP, Tishman Speyer and Fifth Wall Ventures in what was then the single largest software round in the history of commercial real estate.
Represented Lakestar as lead Investor in the $22 million Series A funding round in Colossyan, a London-based AI-text-to-video platform.
